Establishing a company in Estonia from abroad usually means an OÜ, the private limited company, and the filing itself is the simpler part. What takes thought are the choices made before it, and this guide follows them in the order they arrive: how the founders will take part in the formation, with their own e-Residency digital identity or through an agent acting for them; whether the shares are held personally or through an existing company, which decides how much identity checking follows; where the Estonian legal address comes from; and how profit will leave the company, because that, rather than the profit itself, is what Estonian corporate income tax is charged on.

The OÜ is the usual form for foreign founders. It is Estonia's entry in the EU list of private limited forms that must be capable of formation fully online, so the remote route is built around it. The founder can take that route personally with an e-Residency card, a government-issued digital ID card that lets a founder authenticate and digitally sign documents and register a company online, or through an agent. The label e-Residency company describes an online route, not a legal form or residence status. Running an OÜ from abroad gives the company its footing in the EU single market; it does not give the founder residence there.

Why the file looks through a corporate shareholder

An Estonian formation file exists because someone has to establish who stands behind the company before it is registered. EU rules on online company formation require each member state's online procedure to check the founders' identity, their legal capacity and their authority to represent the company, and EU anti-money-laundering law requires the company to obtain and hold adequate, accurate and current information on its beneficial owners, which a central register also holds. Formation agents and notaries are themselves obliged entities under that law, so they ask before they file. Where a company holds the shares, the questions pass through it to its representative and to the individuals who own it, which is why a corporate shareholder brings the larger file.

What changes with who owns the company

Read this list by who will own the company, because that is what moves it. The Estonian legal address is the one entry every founder meets, and it is a standing condition of the company rather than something settled on the day of filing. Two other entries follow the ownership: a company in the shareholder seat brings a due-diligence file of its own, and each additional natural person who becomes a shareholder or director is one more identity to verify. Settle the share capital and signing method, such as e-Residency or Mobile-ID, before filing. e-Residency is one route, not a condition: an agent can act for the founders instead.

Tax follows the payout, not the profit

Estonian corporate income tax does not fall due because the company made a profit. It is charged when profit is distributed, so earnings the company keeps and reinvests carry no corporate income tax for as long as they stay inside it. The point most often misread follows from that: the zero on retained earnings holds only while the profit stays in the company, and the tax arrives with the distribution, whenever that happens. The model therefore favours a business that reinvests, and gives much less to one whose owners plan to take most of the profit out each year. What decides the bill is the money that leaves the company, not what the company earns.

What follows registration is upkeep, including annual reports, rather than another project. The Estonian legal address remains a requirement once the company is on the business register, so the date on which the address arrangement comes up for renewal belongs in the company's own calendar from the first day. Profit can then build up inside the company without corporate income tax, which moves the real tax decision to the moment the owners first want money out: plan that first distribution as the tax event it is. The next practical step is the business bank account, the step that turns a registered OÜ into a working company.
